2. Client Responsibilities

2.1 Account Access

You agree to provide ESAUDITO with necessary access to your YouTube channel and related accounts, including:

• YouTube Studio access for analytics and management
• Google Analytics access (if applicable)
• Any other platforms or tools required for service delivery

2.2 Content Guidelines

You are responsible for ensuring that all content:

• Complies with YouTube's Community Guidelines and Terms of Service
• Does not infringe on third-party intellectual property rights
• Adheres to applicable laws and regulations
• Maintains appropriate standards for your audience

2.3 Timely Cooperation

You agree to:

3. Service Terms and Performance

4. Payment Terms

• ESAUDITO's liability is limited to the fees paid for services in the preceding 12 months

7. Termination

7.1 Termination by Either Party

Either party may terminate this agreement with 30 days written notice. Upon termination:

• All access credentials will be revoked
• Final reporting will be provided
• Confidential information must be returned or destroyed
• Payment obligations continue for services already rendered

7.2 Immediate Termination

We may terminate immediately if:

• Payment is more than 30 days overdue
• You breach these Terms and fail to remedy the breach
• Your content violates platform guidelines or applicable laws
• You engage in fraudulent or harmful activities

8. Indemnification

You agree to indemnify and hold ESAUDITO harmless from any claims, damages, or expenses arising from:

• Your content or its use
• Your violation of platform terms or applicable laws
• Your breach of these Terms
• Third-party claims related to your channel or content

9. Governing Law and Dispute Resolution

These Terms are governed by Italian law. Any disputes will be resolved through:

1. Good faith negotiation between the parties
2. Mediation by a mutually agreed mediator
3. Binding arbitration in Italy (if mediation fails)
4. Litigation in Italian courts (as a last resort)

10. General Provisions

10.1 Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
